All nominees, as set out in the Company’s Management Information Circular dated October 23, 2024 (the “Circular”), were elected as directors of American Lithium at the meeting.
At the meeting, shareholders also agreed to: (i) appoint Davidson & Company LLP as the Company’s auditor for the following year and authorize the Board of Directors to determine the auditor’s fees and (ii) re-approval of the Company’s comprehensive incentive plan, as more specifically described in the circular.

A note of caution regarding 32 privileges
Thirty-two of the one hundred and seventy-four concessions comprising the Valchani and Macosani projects are currently subject to administrative and judicial processes in Peru to set aside decisions issued by INGEMMET and MINEM’s Mining Council in February 2019 and July 2019, respectively. Which declared the ownership of thirty-two concessions invalid due to late receipt of annual validity payments. On November 2, 2021, American Lithium obtained a favorable ruling with respect to ownership of the concessions, but on November 26, 2021, appeals of the adjudication were filed by INGEMMET and MINEM. A three-judge panel of the Peruvian Supreme Court unanimously upheld the ruling in a decision issued in November 2023. American Lithium was subsequently notified that INGEMMET and MINEM had filed petitions with the Peruvian Supreme Court to assume jurisdiction over the proceedings. Given the precedent of the original ruling, it is to be hoped that the Supreme Court will not assume jurisdiction; However, there is no guarantee of outcome at this time.
